Questions
Straight answers, before you spend anything.
I already missed the 120-day deadline. Is it too late?
No. Filing late is allowed. Your LLC's authority to carry on business stands suspended until the proof of publication is filed, and completing the job annuls the suspension. There is no additional state late-filing penalty specified under Section 206. We run the same job at the same $399, and we tell you plainly at order time that your filing will land after the original window, because the six-week run cannot be compressed. The deadline page explains what suspension does, in plain words.
My LLC is in Manhattan. What are my options?
Two. The standard route is the $399 Albany route: with your authorization we move the county on your record to Albany County, publish there, and file the proof. Or publish in Manhattan itself, where the clerk assigns the papers for each LLC and the designated daily quotes its rate per job, so that route is priced by written quote, shown next to the $399 route before you choose. The county page explains both routes.
I formed my LLC through another service. Can you still do this?
Yes. We can complete the publication process for an LLC formed through another service. We verify the entity directly against the New York Department of State record, so you don't need access to your original formation provider. If publication has already been completed and filed, we refund your order in full and provide the record.
How long does the job take?
Plan on about ten weeks from order to filed proof if your job needs no county change, and about twelve weeks if it does. The pieces: record check and route work in the first few days; a county change, if your job needs one, at about one to two weeks; the six-week newspaper run, which the statute fixes and nobody can shorten; one to two weeks for the papers to issue their affidavits after the last insertion; then we submit the certificate package with expedited handling. We send a status email at the halfway point of the run, and the filed proof the day the state confirms it. What we will not do is promise a finish date the newspapers control.
What do you need from me?
A short form, at order. From you: your LLC's exact legal name as it appears in your Articles; the county stated in your Articles; the DOS process (service of process) address on file with the Department of State; a line about what your business does; your name, email, and mailing address; your route choice; and a checkbox authorization appointing us as your LLC's authorized person for the purpose of signing and filing the Certificate of Publication, plus the Certificate of Change if you choose the Albany route. The DOS process address is the one record item we ask you to supply in full, because it goes in the published notice. If you know your DOS ID number, your filing date, your registered agent, or a dissolution date in your Articles, the form takes those too, but they are optional. Everything else we pull from the state record ourselves, and we verify the whole form against that record before placing anything. If what you entered differs from the record, the record governs, and we email you what the record shows before we proceed.
Is this legal advice?
No. We are a filing service, not a law firm, and nothing on this site or in our emails is legal advice. If you have a question about what the law means for your situation, whether to form, dissolve, amend, or how suspension affects a contract, that is for your attorney. If you do not have one, the county bar association's lawyer referral service is the usual place to start.
Are you the state? Is this an official bill?
No, and no. NY Publication Desk is a private business, a trade name of Falls Road Advisory Group LLC. The publication requirement comes from New York law, but the state does not send bills for it and does not endorse us. You could run the publication yourself with the county clerk's designated papers and the state's forms. You are paying us to do the running, the checking, and the filing for you.
How does the Albany publication route work?
Publication must run in the county shown on your Department of State record. Before publication, a Certificate of Change under Section 211-A moves that county to Albany County. The notice then runs in Albany County's clerk-designated papers for six weeks, we collect the affidavits, and we file the Certificate of Publication. Changing the county back afterward is optional, at $89.
How and when do I pay?
By card, in full, when you order. Newspapers are prepaid before a notice runs, and state fees are paid as filings are made, all from our account, never from your card beyond the $399. Refunds follow the ladder on the terms page, and go back to your original card.
What happens after publication is done?
Your LLC's next state obligation is the biennial statement, due in your formation month every two years. The state fee is $9, and our delivery email states your due month plainly whether or not you buy anything else. If you want it handled, our compliance subscription is $149 a year. It includes:
- Biennial Statement filing in your due month
- The $9 state fee included
- Annual entity-status review
- Monitoring of your state record
- A reminder of your annual New York LLC tax filing fee obligation
We remind you about tax filing requirements; we do not prepare or file tax returns. Cancel anytime. The renewal price, the renewal date, and how to cancel are stated before you enroll, and we email you before each renewal charge.
